TERMS OF USE

Please read these terms of use (“terms”) carefully before using the Distriops platform. By accessing or using the Distriops website, registering an account, browsing distributor or supplier listings, submitting a company profile, writing or responding to reviews, using the Distriops API, requesting project matches, or contributing content by any channel (collectively, the “services”), you and your organization (collectively, “you” or “your”) agree to be bound by these terms, Distriops’ privacy policy, and review guidelines (collectively, the “agreement”). If you do not agree, do not use the services.

Distriops is an independent B2B directory and review platform dedicated to the industrial distribution sector. Our mission is to help procurement professionals, plant managers, MRO buyers, and supply chain teams identify, evaluate, and connect with qualified industrial distributors, specialty suppliers, and logistics providers. We also help service providers grow their businesses through verified reviews, profile listings, and lead generation tools.

The terms “we”, “us”, or “our” refer to Distriops. “You”, “users”, “buyers”, or “service providers” refer to any individual or entity accessing the Services.

We reserve the right to update these Terms at any time. Continued use of the Services following any changes constitutes your acceptance of the revised Terms. We will provide notice of material changes where required by applicable law.

1. Eligibility

You must be at least 18 years of age to use the Services, register an account, submit reviews, or otherwise contribute content. By using the Services, you represent and warrant that you meet this requirement. If you are representing a company or other legal entity, you have the authority to bind it to this Agreement.

2. Account Registration

To access certain features of the Services, you may register for a Distriops account. You agree to:

  • Provide accurate, current, and complete registration information, including your company name, industry segment, and contact details.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your login credentials confidential and notify us immediately at support@distriops.com of any unauthorized use of your account.
  • Accept responsibility for all activities occurring under your account.

Distriops reserves the right to suspend or terminate accounts at its sole discretion, including where information provided is found to be inaccurate, misleading, or incomplete. Distriops is not liable for any loss arising from your failure to comply with this section.

3. Use of the Services

As a condition of your use of the Services, you agree to:

  • Comply with all applicable laws, including trade regulations, export controls, procurement laws, privacy laws, intellectual property laws, and tax laws applicable to industrial commerce.
  • Provide accurate and truthful information in all submissions, profiles, and reviews.
  • Review and comply with all notices sent by Distriops regarding the Services.
  • Conduct your own due diligence on any distributor, supplier, or buyer identified through the platform before entering into any commercial engagement.

4. User Content

4.1 Your Responsibility

The Services allow you to submit content, including distributor reviews, company profiles, product certifications, case studies, blogs, ratings, comments, survey responses, and other materials (collectively, “User Content”). You acknowledge and agree that:

  • You are solely responsible for all User Content you submit. Once submitted, User Content cannot be withdrawn.
  • All User Content must be accurate, current, and based on your genuine firsthand experience with the distributor, supplier, or buyer being reviewed.
  • You possess all rights necessary to submit User Content without violating any third-party intellectual property rights, confidentiality agreements, or trade secrets.
  • You assume all risk associated with User Content you submit, including reliance by others on that content.
  • You may expose yourself to liability if you submit false, misleading, defamatory, or unlawful content. You agree to indemnify, defend, and hold Distriops harmless from all claims arising from your User Content.

Distriops reserves the right, but not the obligation, to review, edit, reject, remove, or reclassify any User Content at any time, at its sole discretion, including where content violates these Terms, our Review Guidelines, or applicable law. Distriops has no obligation to retain or provide copies of your User Content.

4.2 Your Risk in Using User Content

Distriops does not verify, adopt, or sanction User Content. References to any products, distributors, logistics providers, manufacturers, or other entities on the Services do not constitute endorsements or recommendations by Distriops. Reviews and ratings represent the opinions of independent third parties and may contain inaccuracies. You must evaluate all User Content and bear all risks associated with relying on it. Distriops makes no assurances regarding the quality, accuracy, or reliability of any User Content or rankings.

4.3 Distriops’ License to User Content

By submitting User Content, you grant Distriops a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, translate, distribute, publish, display, and create derivative works from your User Content, in whole or in part, in any medium now known or hereafter developed, for purposes including operating, promoting, and improving the Services. This includes the right to repurpose review content into formatted case studies, reports, or marketing materials that listed service providers may use to showcase their work.

Distriops and its licensees may display advertisements alongside User Content. You are not entitled to any compensation for such advertising.

5. Shortlist, Consultation & Project Matchmaking

Distriops offers tools to help buyers identify and connect with industrial distributors and specialty suppliers, service providers, or software. You acknowledge and agree that:

  • Distriops is an identification and sourcing tool only. Distriops is not a party to, broker of, or representative in any engagement between buyers and distributors.
  • Any commercial engagement resulting from the use of our services is at your sole risk. Distriops strongly advises that you govern all transactions with appropriate commercial contracts, which should undergo review by legal counsel.
  • Distriops does not guarantee the performance, certifications, inventory availability, lead times, or compliance status of any distributor featured on the platform.
  • Distriops does not prefer or endorse any listed distributor over another. Sponsored listings (see Section 8) affect display position, not quality rankings.
  • Information submitted via project request forms is subject to our Privacy Policy and may be shared with distributors and partners on the Distriops network. By submitting a request, you consent to be contacted by Distriops, relevant distributors, and affiliate partners via phone, email, or other reasonable communication channels.
  • Distriops reserves the right to decline processing any request that is determined to be inappropriate, inaccurate, or outside the scope of our Services.

6. Prohibited Activities

In using the Services, you agree you will not, and will not assist or encourage others to:

  • Submit inaccurate, false, fabricated, or defamatory information in profiles, reviews, or any User Content.
  • Offer or receive compensation in exchange for submitting, editing, or removing reviews, except for properly disclosed incentivized reviews compliant with Section 8.
  • Post reviews on distributors or suppliers where you have an undisclosed conflict of interest, including reviews of your own employer, your employer’s direct competitors, or entities with which you have an undisclosed financial relationship.
  • Exercise undue influence over reviewers, including requesting that they edit or delete reviews. Distriops may publicly disclose such conduct via its Buyer Alerts Program.
  • Submit content that is unlawful, libelous, abusive, discriminatory, or otherwise objectionable.
  • Submit content that discloses confidential, proprietary, or trade secret information belonging to a third party.
  • Infringe upon any patent, trademark, trade secret, copyright, or other intellectual property right.
  • Scrape, crawl, index, or mine any portion of the Services using automated tools, scripts, robots, or any other means without express written permission from Distriops.
  • Use data from the Services to create a competitive directory, database of reviews, or competing analytics product.
  • Duplicate, license, rebrand, or resell information found on Distriops (excluding your User Content).
  • Attempt to gain unauthorized access to Distriops systems, accounts, or infrastructure through hacking, credential stuffing, password mining, or any other means.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code from the Services.
  • Engage in framing, mirroring, or impersonating Distriops’ Services without express written authorization.
  • Threaten, harass, or harm other users, or log in using an alias that masks your true identity.

7. Intellectual Property & Ownership

As between you and Distriops, you retain ownership of the User Content you submit. Distriops owns all other content and components of the Services, including features, graphics, design, code, aggregate review data, rankings, research publications, and directory data. The Services are protected by copyright, trademark, and other intellectual property laws of the United States and applicable foreign jurisdictions.

All Distriops trademarks, logos, and service marks may not be copied, imitated, or used without prior written permission. All other company names, product names, trademarks, and logos featured on the Services are the property of their respective owners.

To report a copyright infringement, contact us at support@distriops.com. Include: 

(i) a description of the copyrighted work; 

(ii) identification of the infringing material and its location; 

(iii) your contact information; 

(iv) a good-faith statement that use of the material is not authorized; and 

(v) a statement of accuracy under penalty of perjury.

8. Sponsorships & Incentivized Reviews

8.1 Sponsorships

Distriops offers Sponsorship programs that allow industrial distributors and suppliers to increase their visibility on the platform. Sponsored listings are clearly marked with a “Sponsor” designation and are displayed prominently on directory and category pages by default. Sponsorship does not affect a company’s objective ranking on the Distriops Leaders Matrix or quality scores, nor does it guarantee any specific volume of leads, inquiries, or transactions.

8.2 Incentivized Reviews

Service providers may offer incentives (discounts, samples, extended trials) to encourage customers to submit reviews, subject to the following requirements:

  • The review invitation must clearly state that the review may be positive or negative.
  • The review must reflect the reviewer’s honest, independent opinion.
  • The submission must prominently disclose that the reviewer received a free or discounted product or service in exchange for the review.

Incentives must never be conditioned on the review being positive. Failure to comply may result in the removal of the review and suspension of the service provider’s account.

9. Third-Party Data & Distributor Profiles

By listing on the Services, service providers grant Distriops the right to supplement profiles with third-party data, including publicly available information such as open corporate records, certifications databases, and logistics accreditation records, as well as data from commercial data providers. Distriops will exercise reasonable care, but does not warrant the accuracy of third-party data and disclaims liability for errors originating from such sources.

Buyers should independently verify all distributor credentials, certifications, safety compliance records, inventory availability, and pricing before executing any purchase or supply agreement.

10. Feedback

Any feedback, suggestions, corrections, or recommendations you provide regarding the Services shall become the exclusive property of Distriops. You hereby assign all rights in such feedback to Distriops without any obligation of payment or compensation to you.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Distriops provides the services on an “as is” and “as available” basis with all faults, without warranty of any kind. Distriops makes no representations or warranties as to the quality, accuracy, reliability, completeness, or fitness for a particular purpose of any content, distributor profiles, reviews, ratings, or directory data on the services. Distributor reviews and ratings consist of the independent opinions of third parties and shall not be construed as statements of fact or endorsements by Distriops.

Distriops does not guarantee that the services will operate without interruption or error. distriops disclaims all liability for interruptions caused by maintenance, updates, network failures, or other events beyond its reasonable control.

If you are dissatisfied with the services, your sole and exclusive remedy is to close your account and discontinue use of the services.

Where applicable law requires implied warranties, such warranties are limited to ninety (90) days from your first use of the services.

12. Limitation of Liability

To the maximum extent permitted by law, distriops shall not be liable to you or any third party for any indirect, incidental, consequential, exemplary, special, or punitive damages arising out of or relating to these terms or your use of the services, including but not limited to lost profits, lost data, loss of goodwill, supply chain disruption, procurement failures, or business interruption, even if distriops has been advised of the possibility of such damages.

In all cases, Distriops’ aggregate liability to you for any claims arising from these terms shall not exceed the total fees paid by you to Distriops in the twelve (12) months preceding the event giving rise to the claim. The existence of multiple claims will not expand this limit.

13. Indemnification

You agree to indemnify, defend, and hold harmless Distriops and its officers, directors, employees, agents, and licensors from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to (1) your violation of these Terms; (2) your User Content; (3) your use of or reliance on the Services; or (4) your violation of any applicable law or third-party right.

14. Dispute Resolution & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Distriops is established, without regard to its conflict of law principles or the application of the United Nations Convention on Contracts for the International Sale of Goods.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by a recognized arbitration body under its applicable commercial arbitration rules. The seat and venue of arbitration shall be determined by Distriops, unless otherwise required by applicable law.

Judgment on any arbitral award may be entered and enforced in any court of competent jurisdiction.

You agree that all arbitration proceedings shall be conducted on an individual basis. You waive any right to bring class-wide, collective, or representative claims before any arbitrator or court. By agreeing to arbitration, you waive your right to a jury trial.

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction without waiving the right to arbitrate the underlying dispute. The prevailing party in any dispute arising under these Terms shall be entitled to recover reasonable attorneys’ fees and costs.

15. Links to Third-Party Sites

The Services may contain links to third-party websites, including distributor websites, logistics portals, and industry databases. Distriops does not endorse or take responsibility for any content, products, or services on third-party sites. Your use of any third-party site is at your own risk and governed by that site’s own terms and policies.

16. General Provisions

16.1 Entire Agreement

These Terms, and any applicable Order Form, constitute the entire agreement between you and Distriops with respect to the Services and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Distriops’ failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized officer of Distriops.

16.4 Assignment

You may not assign or delegate your rights or obligations under these Terms without Distriops’ prior written consent. Distriops may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, with notice to you.

16.5 Notices

Notices to Distriops should be sent to support@distriops.com. Notices are effective upon personal delivery; the second business day after mailing, or the first business day after a confirmed email (except for termination or indemnification notices, which require written delivery).
