Falcon launches with Encore acquisition
Falcon Gases has made its first move in industrial distribution by acquiring Encore Gas & Supply, a Southern California distributor of packaged gas and welding supplies. The deal serves as Falcon’s initial investment as the newly formed business begins building a larger packaged gas distribution platform. At the same time, Falcon announced that Odyssey Investment Partners has taken a majority stake in the company, giving the platform financial backing as it pursues growth.
Financial terms of the transaction were not disclosed.
Encore is based in Long Beach, California, and operates additional branches in Ontario and Valencia, along with a specialty and industrial gas facility in Signal Hill. That footprint gives Falcon an immediate operating base in a dense industrial market with meaningful demand from manufacturing, fabrication, construction, maintenance and repair customers. For a platform strategy in wholesale distribution, geography matters: branch proximity, delivery density and local service capabilities can be as important as product breadth.
In an announcement, Falcon said Encore would be “the perfect foundational partnership” as it grows through organic investment and additional acquisitions of independent distributors.
Why Encore fits the strategy
This acquisition is notable not just because Falcon bought a distributor, but because of the type of distributor it chose. Encore brings an established regional operating model in a category where reliability, cylinder management, route efficiency and customer relationships shape performance. Industrial gas distribution is highly service-intensive, and scale does not come only from adding revenue; it also comes from improving fill operations, delivery utilization, procurement leverage and cross-selling adjacent products such as welding supplies.
That makes Encore a logical starting point. Falcon gets a live distribution network, customer accounts, facilities and local market knowledge rather than building from zero. For independent distributors watching M&A activity, this is a familiar playbook: acquire a strong operator in an attractive territory, preserve customer-facing strengths, and then use capital to add systems, assets and tuck-in deals.
Encore President Ben Anderson underscored that continuity in a statement: “As Encore enters its next phase of growth, we will continue with the core belief that has made us successful to date: invest in customers, people and assets, and the rest will take care of itself.”
What the deal signals for distributors
For the broader industrial distribution market, the transaction points to continued investor interest in essential, route-based, relationship-driven businesses. Packaged gas distribution checks many of the boxes financial sponsors and platform operators look for: recurring demand, localized service moats, fragmented ownership and opportunities to professionalize back-office and supply chain functions.
Distributors should pay attention to several implications:
- Private equity-backed platforms are still seeking independent distributors with defendable local positions.
- Regional density remains a major value driver because it supports delivery economics and service responsiveness.
- Operators that have invested in facilities, fleet, safety, inventory discipline and sales relationships are more likely to stand out in M&A conversations.
- Acquirers are looking for foundations they can scale, not just revenue they can buy.
The deal also reflects a broader supply chain theme. In industrial gas and adjacent MRO categories, customers increasingly value dependable fulfillment over lowest-price sourcing. That favors distributors with strong branch networks, specialized handling capabilities and consistent service execution. A platform like Falcon can potentially strengthen those attributes by adding capital and acquisition capacity, but success will still depend on execution at the branch and route level.
What comes next for Falcon
Falcon says it is led by industrial gas veterans, and its comments suggest an active expansion strategy ahead. With Odyssey as majority investor and Encore as the initial operating base, the company appears positioned to pursue both organic growth and further distribution M&A. That likely means adding customers, investing in assets and evaluating other independent distributors that can deepen territory coverage or add complementary capabilities.
For distributors, the message is straightforward: this was not an isolated branch acquisition, but the launch of a platform with scale ambitions. As consolidation continues across wholesale distribution, independent businesses in specialized categories such as packaged gas will remain central to how larger networks are assembled. Falcon’s first acquisition shows that buyers still value local distributors that combine service credibility, infrastructure and room to grow.
